GEOD VENDOR / SELLER POLICY

Effective Date: 3rd May 2026

This Vendor/Seller Policy governs the registration, operation, responsibilities, and obligations of merchants ("Vendors" or "Sellers") using GEOD (Get Everything On Discount), operated by Vidisha Global Enterprises.

By registering as a Vendor on GEOD, the Seller agrees to comply with this Policy, the Terms & Conditions, and all applicable laws.

1. Purpose of GEOD

GEOD is a local marketplace platform that enables nearby merchants to sell products and services to customers through the GEOD website and mobile application.

GEOD acts as a technology and marketplace facilitator and does not own or manufacture products listed by vendors.

2. Vendor Eligibility

A Vendor must:

Be at least 18 years old.
Be legally authorized to conduct business.
Provide accurate business information.
Maintain a valid bank account.
Comply with applicable Indian laws and regulations.

GEOD reserves the right to approve or reject any vendor application without assigning reasons.

3. Registration Requirements

The Vendor may be required to provide:

Individual / Proprietorship

Owner Name
Mobile Number
Email Address
PAN Card
Aadhaar Card
Shop Address
Bank Account Details

GST Registered Businesses

GST Certificate
Business PAN
Cancelled Cheque / Bank Proof

Optional Documents

Trade License
FSSAI License
MSME Certificate
Brand Authorization

Depending on product category, additional documents may be required.

4. Vendor Account Responsibility

The Vendor is solely responsible for:

Account credentials
Product listings
Inventory updates
Pricing updates
Order fulfillment

Any activity performed through the Vendor account shall be deemed to have been performed by the Vendor.

5. Product Listing Requirements

The Vendor shall ensure that:

Product information is accurate.
Product images are genuine.
Prices are correct.
Stock information is regularly updated.
Product descriptions are not misleading.

Product Listings Must Not Include

False claims
Fake discounts
Copyright violations
Offensive content
Misleading specifications

GEOD may remove any listing without prior notice.

6. Product Authenticity

All products listed on GEOD must be:

Genuine
Legally sourced
Original (unless clearly marked otherwise)

The Vendor shall be solely liable for counterfeit or unauthorized products.

7. Prohibited Products

The Vendor shall not sell:

Illegal products
Counterfeit goods
Narcotics
Tobacco products (where prohibited)
Alcohol (without legal authorization)
Weapons
Explosives
Adult content
Pirated software
Restricted medicines

GEOD may immediately suspend accounts involved in prohibited products.

8. Inventory Management

The Vendor shall maintain accurate inventory. Out-of-stock products must be updated immediately.

Repeated order cancellations due to stock unavailability may result in penalties or suspension.

9. Pricing Policy

The Vendor shall:

Display fair and accurate prices.
Avoid misleading discounts.
Ensure MRP compliance where applicable.

Any pricing manipulation may result in corrective action by GEOD.

10. Order Processing

Accept or Reject Promptly

Recommended: Within 15–30 Minutes.

Pack Correctly

Products must be:

Securely packed
Properly labeled
Ready for delivery

Maintain Product Quality

Products must match the listing description.

11. Delivery Responsibilities

Where Vendor-managed delivery is enabled:

Deliver within committed timelines.
Maintain delivery professionalism.
Ensure product safety.

Where GEOD-managed delivery is used:

The Vendor shall hand over products promptly to the assigned delivery partner.

12. Open Box Delivery Support

For Open Box Delivery orders, the Vendor shall:

Provide correctly packed products.
Allow inspection of products at delivery.
Cooperate in dispute resolution.

13. Returns and Replacements

Return requests
Replacement requests
Refund investigations

Failure to cooperate may result in penalties.

14. Customer Service Standards

Treat customers respectfully.
Respond promptly to inquiries.
Resolve complaints professionally.

Abusive behavior towards customers shall not be tolerated.

15. Commission and Fees

GEOD may charge:

Commission on orders
Subscription fees
Promotional fees
Advertising fees

Applicable charges shall be communicated separately.

16. Settlement Policy

Payments shall be settled after:

Successful order completion
Return period verification (if applicable)
Fraud review (if required)

GEOD may withhold settlements in cases involving disputes or investigations.

17. Fraud Prevention

The Vendor shall not:

Create fake orders.
Manipulate ratings.
Inflate prices artificially.
Misrepresent products.
Abuse promotional offers.

Fraudulent activity may lead to permanent suspension and legal action.

18. Intellectual Property

Product images are authorized.
Brand logos are legally used.
Content does not infringe intellectual property rights.

The Vendor shall indemnify GEOD against related claims.

19. Performance Monitoring

GEOD may monitor:

Order acceptance rate
Cancellation rate
Customer complaints
Return percentage
Delivery performance
Product quality ratings

Poor performance may result in warnings, penalties, or suspension.

20. Suspension and Termination

GEOD may suspend or terminate a Vendor account for:

Policy violations
Fraud
Counterfeit products
Excessive cancellations
Customer complaints
Non-cooperation

Immediate suspension may occur in serious cases.

21. Limitation of Liability

The Vendor agrees that GEOD acts only as a marketplace facilitator.

The Vendor shall remain solely responsible for:

Product quality
Product legality
Warranties
Product defects
Regulatory compliance

22. Indemnity

The Vendor agrees to indemnify and hold harmless GEOD, its owners, employees, and affiliates from any claims, damages, losses, liabilities, or expenses arising from:

Product defects
Consumer disputes
Regulatory violations
Intellectual property claims

23. Governing Law

This Policy shall be governed by the laws of India.

Jurisdiction shall be subject to courts located in Ghaziabad, Uttar Pradesh.
