1. Merchant Onboarding & Eligibility

• Merchant must be a legally operating business or shop
• Accurate shop, owner, and contact details must be provided
• GST registration is mandatory where applicable
• GEOD reserves the right to approve, reject, or suspend merchant onboarding

2. Product Listing & Pricing

• Merchant is responsible for product authenticity, quality, and legality
• Product details, images, prices, and discounts must be accurate
• Fake discounts, misleading MRPs, or duplicate listings are prohibited
• Stock availability must be kept updated

3. Order Management & Fulfillment

• Orders must be accepted or rejected within the defined time
• Accepted orders must be packed as per quality standards
• Delays, wrong items, or poor packaging may attract penalties

4. Commission & Service Fees

• GEOD may charge a commission or service fee per successful order
• Commission structure may vary by category and will be shared separately
• GEOD reserves the right to revise commission with prior notice

5. Payments & Settlements

• Payouts are processed after successful order completion
• Settlement cycle (daily/weekly/bi-weekly) will be defined separately
• Refunds, cancellations, or penalties may be adjusted against payouts
• Correct bank details must be provided for settlements

6. Returns, Refunds & Cancellations

• Merchant must comply with GEOD’s Refund & Cancellation Policy
• Merchant is responsible for incorrect, damaged, or non-delivered items
• High cancellation or return rates may trigger account review

7. Merchant Conduct & Compliance

• Maintain professional behavior with customers and delivery partners
• Comply with applicable laws, tax rules, and consumer regulations
• Do not misuse customer or platform data

8. Ratings, Reviews & Performance

• Performance may be measured via ratings, reviews, and order metrics
• Poor performance may result in penalties or delisting

9. Suspension & Termination

• False or misleading information is provided
• Repeated order failures or customer complaints occur
• Fraudulent, illegal, or unethical activity is detected
• Merchant may request account closure after settling dues

10. Intellectual Property

• Merchant grants GEOD rights to use product and shop data for promotion
• GEOD branding may not be used outside the platform without permission

11. Limitation of Liability

• Merchant business losses
• Customer disputes over product quality or pricing
• Delays caused by vendors or delivery partners

12. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of India.
